This Commercial Shipping, Delivery, and Refund Policy (“Policy”) structures the absolute operational rules governing the fulfillment, transit, allocation of risk, and financial finality of all physical inventory sold by MittiMind Farms (“the Firm,” “we,” “us,” or “our”), a registered partnership firm, across our direct-to-consumer (D2C) digital storefront, business-to-business (B2B) procurement channels, and remote agricultural hubs.
By processing an order, submitting a commercial purchase order, or executing a wholesale acquisition transaction, you (“the Buyer,” “Customer,” or “Wholesaler”) enter into a binding, un-severable agreement to abide completely by the terms detailed herein. If you do not agree to the risk structures and non-refundable parameters established in this document, you are strictly prohibited from initiating commercial transactions on our platforms.
2. Shipping Framework, Sourcing Realities, and Fulfillment Windows
MittiMind Farms utilizes a specialized supply chain model optimized for the distribution of both highly sensitive, live perishable items (including fresh exotic mushrooms and microgreens) and shelf-stable value-added lines (including dehydrated products, botanical powders, and custom packaging alternatives).
- Geographical Sourcing Infrastructure: Our core agricultural produce is cultivated naturally within high-altitude, rural, and remote regions of Northeast India, including Meghalaya (such as Laitnongrim and the Makham Valley parameters). Buyers explicitly acknowledge that local infrastructural constraints, hilly terrains, and high-altitude logistics routes inevitably inject unique variables into standard transit projections.
- Fulfillment Windows for Shelf-Stable Inventory: Dehydrated goods, pulverized botanical powders, and processed packaging stocks are typically processed, packed, and dispatched from our fulfillment nodes within 3 to 5 business days from the date of clear payment confirmation.
- Fulfillment Windows for Perishable Live Inventory: Due to the extreme environmental sensitivities of fresh mushrooms and living microgreens, these items are harvested dynamically based on biological yield cycles. Delivery dates provided at checkout are strictly automated estimates and do not constitute absolute corporate deadlines. Perishable shipments are coordinated dynamically with overnight priority couriers to ensure minimized transit duration, and dispatches are intentionally paused prior to weekends or national holidays to prevent carrier depot storage stagnation.
3. Absolute Transfer of Title and Risk of Loss
MittiMind Farms operates strictly on a Free on Board (FOB) Origin / Fulfillment Dock framework for both individual D2C retail parcels and commercial bulk B2B freight networks.
- The Moment of Risk Transfer: Absolute legal title, ownership, and 100% of the risk of cargo degradation, environmental spoilage, microbial contamination, package crushing, or total transit loss shift comprehensively to the Buyer the exact millisecond the inventory is handed over to an independent logistics carrier, third-party courier, or freight aggregator.
- Exclusion of Courier Liability: Once a shipment leaves our loading platforms, MittiMind Farms is entirely insulated from, and assumes zero legal responsibility for, transit delays, customs holds, domestic route diversions, union strikes, carrier handling accidents, or extreme temperature drops or spikes caused by a courier’s un-refrigerated cargo holds. Any claims for transit delays, missed delivery windows, or damaged external boxing must be pursued exclusively by the Buyer directly against the third-party shipping company.
4. Customer Delivery Obligations and Delivery Failures
To preserve the physical and biological integrity of premium agricultural produce, the Buyer assumes an absolute duty of care regarding logistical accuracy and reception availability.
- Accuracy of Delivery Metrics: The Buyer bears sole liability for providing a fully accurate, universally recognized physical delivery address, along with an active, reachable local telephone number and secondary contact details. MittiMind Farms will not cross-verify addresses, and we completely disclaim all liability for shipments routed incorrectly due to typographical errors or omitted unit numbers submitted by the Buyer at checkout.
- Unattended Delivery and First-Attempt Forfeiture: Due to the highly perishable nature of live microgreens and exotic mushrooms, the Buyer must physically receive the package on the courier’s first delivery attempt. If the delivery fails because the Buyer is absent, unreachable by phone, requests a delayed delivery window from the carrier, or lacks an authorized agent at the drop site, the package is deemed legally forfeited. Because our fresh products cannot survive return transit or extended carrier warehousing, the shipment will be discarded by the logistics company at the Buyer’s expense. No replacement orders, structural credits, or liquid cash refunds will be authorized for deliveries that fail due to Buyer unavailbility.
5. Comprehensive Return and Refund Restrictions
To protect our asset-lite agricultural operational structure and preserve food-safety sanitization chains, we enforce a strict, comprehensive restriction matrix on returns and financial reversals.
- Perishable Items (Fresh Mushrooms & Microgreens): All sales of fresh, living, or raw perishable items are 100% final, non-returnable, and non-refundable under any circumstances. Under food-safety regulations, returned agricultural items cannot be reintroduced to our inventory or processing nodes, and we will not assume the financial burden for a customer’s change of mind or localized volume miscalculations.
- Shelf-Stable Processed Items (Powders & Packaged Lines): Returns for shelf-stable items are restricted exclusively to instances where the Firm has explicitly dispatched the wrong product code or variant. If a return is formally authorized by our compliance officer via text or email, the item must arrive back at our designated depot completely unopened, structurally untampered with, and inside its original vacuum-sealed protective wrap within 7 days of the initial delivery stamp. Any item that shows signs of unsealing, localized moisture introduction, or external container tearing will be rejected without credit.
6. Mandatory Video Verification Protocol (Unboxing Mandate)
MittiMind Farms implements an absolute, non-negotiable Mandatory Video Verification Protocol to eliminate fraudulent claims regarding shorted orders, missing items, internal contamination, or factory defects. This protocol serves as the sole evidentiary baseline recognized by our claims management infrastructure.
- The Continuous Recording Rule: To contest any delivery discrepancy or report a product structural defect, the Buyer must record a single, continuous, completely unedited, high-definition (HD) video during the initial unboxing of the shipment.
- Required Video Elements: To be deemed legally valid, the video must explicitly capture:
- The shipping label clearly legible on the screen, showing the tracking numbers, order indicators, and recipient data.
- All six (6) exterior sides of the corrugated box or shipping container prior to any tape being slit, proving the original factory seals are completely intact and have not been tampered with or pre-opened.
- The physical cracking of the seals and the continuous removal of all internal packing elements, item counts, and product units in real-time.
- Disqualification Metrics: Any video that features cuts, digital splices, panning breaks, pauses, or shows an item that has already been partially unboxed or extracted from its primary vacuum wrap will be immediately disqualified.
- Submission Deadlines: The unedited video file, along with a written statement of the claim, must be submitted directly to info@mittimindfarms.com within twelve (12) hours of the carrier’s delivery confirmation time stamp. Failure to capture or submit this video verification within the designated 12-hour window constitutes a complete, irreversible legal waiver of your right to claim missing inventory, processing errors, or batch variations.
7. Business-to-Business (B2B) Commercial Purchase Constraints
Wholesale, bulk procurement, and B2B contract purchases are insulated from consumer protection laws and are governed strictly by the following parameters:
- Finality of Commercial Invoices: Upon the execution of a bulk commercial invoice or the transmission of a corporate bank transfer, the order is considered locked and fully non-cancellable. MittiMind Farms instantly allocates farming, harvesting, drying, or powdering labor and custom materials based on commercial purchase orders, meaning that any subsequent cancelation demands will result in the total forfeiture of all advanced deposits.
- Independent Quality Assessment: B2B clients possess a strict 24-hour window from the moment of freight receipt to conduct independent quality verifications and report structural compliance deviations based on the video protocol outlined in Section 6. Beyond 24 hours, the batch is legally deemed accepted “as-is,” and the Firm is permanently released from all subsequent quality disputes, batch performance claims, or business interruption liability within the client’s downstream processing lines.
8. Force Majeure and Regional Logistics Protections
MittiMind Farms is completely absolved of all performance timelines, delivery obligations, and financial liabilities regarding delayed or canceled shipments during events of Force Majeure or localized regional constraints.
Because our physical cultivation operations are based in the geographically complex environments of Northeast India, Force Majeure events under this Policy explicitly encompass catastrophic monsoon events, regional landslides, highway closures, bridge failures, state-mandated borders or transit lockdowns, tribal blockades, regional civil unrest, currency formatting updates, grid power failures affecting drying infrastructure, and prolonged courier facility disruptions. During a Force Majeure event, fulfillment timelines will be suspended indefinitely, and the Firm is not liable for any crop degradation, business financial loss, or contract penalties suffered by the Buyer during the period of operational suspension.
